Frequently asked questions
General information about how investing with Rise Capital Group works. It is not an offer to sell or a solicitation of an offer to buy any security, and it is not tax, legal or investment advice.
Getting started
What is Rise Capital Group?
Rise Capital Group sponsors and manages private investments in real estate, oil and gas, and select alternative real assets. The portal is where partners review material, track their capital account, read updates and download statements.
Who can invest?
Participation in our private offerings is limited to accredited investors, as that term is defined in Rule 501(a) of Regulation D under the Securities Act of 1933. Creating an account does not make you accredited and does not approve you for any offering.
What happens after I request access?
Your account starts as pending. A general partner reviews your application, contact permissions and accreditation information before any offering material is released to you. Review takes place during business hours and is not automatic.
Does creating an account commit me to anything?
No. Registering, browsing released material and marking interest in a project are all non-binding. You only commit capital when you sign subscription documents for a specific offering and fund them.
Accreditation and eligibility
What is an accredited investor?
Rule 501(a) sets the categories. For individuals the common ones are net worth over $1,000,000 excluding your primary residence (alone or with a spouse or spousal equivalent), income over $200,000 in each of the two most recent years (or $300,000 jointly) with a reasonable expectation of the same this year, or holding a Series 7, 65 or 82 licence in good standing. Entities, trusts and family offices qualify under separate tests.
Is my self-certification the same as verification?
No. A signed self-certification is your own statement about yourself. For an offering conducted under Rule 506(c), the sponsor must take reasonable steps to verify your accredited status — for example a letter from your CPA, attorney, registered investment adviser or registered broker-dealer, or documentary review of income or net worth. We tell you which is required before you subscribe.
How long does an accreditation record last?
Accreditation is assessed as at a point in time. For Rule 506(c) offerings, verification is generally relied on for up to three months unless you provide a written representation that your status has not changed. We may ask you to re-certify before a new subscription.
What do you do with the documents I provide?
Supporting evidence is stored privately and is visible only to you and the Rise team members who review it. We record who reviewed it and when. We do not sell or share it for marketing.
Investing and capital
How do I fund an investment?
After your subscription documents are signed, we issue written wire instructions from the portal. Always confirm wire details by telephone with a person you already know at Rise Capital Group before sending funds, using a number you have independently verified. We never send new or changed wire details by email alone.
How long do wires take?
Domestic wires commonly post the same or next business day, but receipt, matching and reconciliation frequently take 3 to 5 or more business days. Your capital account reflects funds once they are received and reconciled.
Is there a minimum investment?
Minimums are set per offering and are stated in that offering's documents. Where an offering allows it, a general partner can accept a different amount at their discretion.
Can I invest through an entity, trust or IRA?
Yes, where the entity itself qualifies. The subscription is made in the name of the entity, accreditation is assessed at the entity level, and the person signing must be authorised to bind it.
Distributions, reporting and taxes
How are distributions paid?
Distributions are declared by the general partner and paid according to the distribution waterfall in the governing documents for that offering. Each payment is recorded against your capital account and shown in your statements, split between return of capital and income where applicable.
Are returns guaranteed?
No. Private investments involve substantial risk, including the risk of losing all invested capital. Any projection, target, reserve estimate or production figure is an estimate only and is not a promise of results. Past performance does not predict future results.
What reporting will I receive?
Your portal shows your capital account, transactions, holdings and distributions, with statements you can download as PDF, CSV or a spreadsheet. Every figure is produced from the recorded source entries for the period shown.
What about tax documents?
Partnership investments generally produce a Schedule K-1 for each tax year, issued after the partnership return is prepared. Rise Capital Group does not provide tax, legal or investment advice; please consult your own advisers.
Liquidity, access and security
Can I withdraw at any time?
No. These are illiquid, long-term private investments with no public market. Withdrawal or transfer rights are limited by the governing documents for each offering, and any request is subject to review and approval.
How is my information protected?
Access is permission-based: you see only your own account, documents and statements. Sensitive files are stored privately, administrative actions are recorded with the person and time, and posted financial records cannot be silently edited.
Someone contacted me claiming to be from Rise. What should I do?
Stop and call us on a number you already have. Never send funds, credentials or identity documents in response to an unexpected email, text or call, even if it appears to come from us.
How do I get help?
Signed-in partners can message the team privately from the portal. If you do not have an account yet, use the contact form and we will come back to you.
Private investments are illiquid and involve substantial risk, including loss of the entire amount invested. Any target, projection or estimate is not a guarantee of results.
